We navigate Nigeria’s regulatory landscape, including the Nigerian Upstream Petroleum Regulatory Commission, the Nigerian Midstream and Downstream Petroleum Regulatory Authority, the Nigerian Electricity Regulatory Commission and infrastructure sector regulators. We structure transactions under the Petroleum Industry Act 2021, the Electric Power Sector Reform Act and PPP frameworks to deliver bankable projects in a challenging environment.

Advising governments, sponsors and lenders on public-private partnership structures for major public works, including concession and availability-based models, toll and revenue-risk projects, government support and guarantee arrangements, and the allocation of construction, operational and political risk between public and private parties.
Selected Experience
Ado-Ekiti Ring Road public-private partnership and N32.5 billion infrastructure bond
Advised the Ekiti State Government and InfraCredit on a 20-year annuity PPP concession granted to Craneburg EKSG Motorway Company for a 17.85km expressway, structured on a design-build-finance-operate-maintain-transfer model, including the concession agreement, project documentation and bond issuance.
Brass LNG US$3.5 billion LNG project
Advised on a major joint venture LNG development, comprising US$3.5 billion liquefaction trains, port and marine facilities involving NNPC, Total, ConocoPhillips and Agip, covering project structuring, financing and regulatory approvals in Nigeria’s gas sector.
Eni US$2 billion ICSID arbitration settlement
Acted as co-counsel, with Three Crowns LLP, for Eni in a landmark settlement with the Federal Republic of Nigeria resolving an ICSID arbitration over Oil Prospecting Licence 245, one of Nigeria’s largest deepwater reserves.
Nigerian Ports Authority £746 million (approximately US$1 billion) export finance facility
Advised as Nigerian legal counsel to Citibank, N.A., London Branch, and UK Export Finance on an export credit agency-backed facility to the Nigerian Ports Authority, one of the largest cross-border infrastructure financings in West Africa in recent years.
Seplat Petroleum Development Company US$1.7 billion credit facilities
Advised as Nigerian legal counsel on upstream oil & gas financing, comprising a US$300 million revolving credit facility and a US$700 million secured term facility with up to a US$700 million accordion facility, supporting exploration, production and gas processing.
Azura-Edo IPP $900M Power Project
Advised on Nigeria’s first privately financed IPP under EPSRA, 461MW gas-fired plant with World Bank, AfDB, ECA financing, government guarantees, and 20-year PPA.
Brass LNG $3.5B LNG Project
Advised on major joint venture LNG development, US$3.5 billion liquefaction trains, port, and marine facilities involving NNPC, Total, ConocoPhillips, and Agip, focusing on project structuring, financing, and regulatory approvals in Nigeria’s gas sector.
ExxonMobil NGL II $1.275B Natural Gas Liquids Project
Advised on landmark financing for ExxonMobil’s Natural Gas Liquid II project, US$1.275 billion debt financing for gas processing and infrastructure expansion, including international lender coordination and energy regulatory compliance.
NLNG Trains 4 & 5 Expansion $1.06B LNG Financing
Advised on financing for expansion of Nigerian Liquefied Natural Gas Plant, US$1.06 billion for trains four and five, involving foreign banks, export credit agencies (ECAs), project finance structuring, and oil & gas sector agreements.
Seplat Petroleum Development Company $1.7B Credit Facilities
