Aluko & Oyebode is delighted to have acted as legal counsel to Anergi International Limited and Anergi Nigeria Commercial Limited (“Anergi”), in connection with its landmark investment in Decentralised Energy Limited (“DEL”), a joint venture between Anergi and Viathan (Nigeria’s largest embedded energy solutions provider), which is backed by a strong investor consortium consisting of Sango Capital Partners, Synergy Capital Partners, Kuramo Capital Partners, PIPP Energy, Vista Holdings, and InfraCredit.
Our role included conducting an extensive due diligence on the power and gas assets and providing legal and transaction structuring advice on the transaction, drafting, negotiating, and reviewing all core transaction documents, advising on the debt financing arrangements, and putting in place the governance framework to support DEL’s establishment as a new corporate entity.
This transaction marks a significant investment milestone in Nigeria’s power and gas energy sector, establishing DEL as a bold new platform for a decentralised power and gas infrastructure development and the provision of renewable energy solutions in Nigeria and West Africa. With immediate operational capability and a mandate to deliver reliable, cleaner energy to businesses and communities across Nigeria, DEL is well-positioned to serve key sectors of the Nigerian economy, including manufacturing, agro-processing, healthcare, logistics, and industrial estates, thereby reducing the dependency on diesel generators and driving long-term energy stability for millions of Nigerians.
