Olagoke is a Partner in the Firm’s Business Advisory practice and has experience advising clients on foreign investments, corporate establishments, restructuring and winding up; all aspects of Nigerian statutory and regulatory compliance matters, licenses, permits and approvals and registration, as well as corporate governance issues, amongst others. He is also a member of the Firm’s Energy and Natural Resources practice and has advised clients on joint venture arrangements, project structuring and development, engineering procurement and construction, contract bid negotiations for deep offshore operations, asset acquisitions etc.

- Lagos State 4th Mainland Bridge (PPP Project): Key member of the team advising the preferred bidder on the proposed design, construction, financing, operation and maintenance of the Lagos State 4th Mainland Bridge. Responsibilities included legal due diligence on the regulatory framework, structuring advice, drafting and review of the concession agreement and financing documents, and issuance of legal opinions.
- Road Infrastructure Tax Credit Scheme (RITC): Member of the team advising MTN Nigeria Communications Plc on the construction of the Enugu–Onitsha Expressway pursuant to Executive Order 007 of 2019 under Nigeria’s RITC framework.
- Special Economic Zone & Industrial Development (Ogun State): Co-led advisory to Arise Integrated Industrial Platforms (UAE) in connection with the development of a special economic/free trade zone, cargo airport and agro-industrial projects in collaboration with Ogun State Government. Advised on SPV structuring, foreign investment protections, fiscal incentives, concession documentation, land grants, procurement frameworks and government contracting requirements.
- State Government PPP Ring Road Project: Co-led advisory to a Nigerian state government on development of a ring-road under a PPP framework, including review of state procurement and PPP legislation, drafting of new PPP legislation, preparation of concession and independent engineer agreements, and advisory on irrevocable standing payment order structures.
- US$45m Frontier Oil Facility (Uquo Marginal Field): Co-led advisory to Frontier Oil Limited on a US$45 million term loan facility for drilling, completion and infrastructure development in OML 13. Advised on security structuring, facility documentation, due diligence coordination and satisfaction of conditions precedent.
- US$38m Upstream Term Loan Facility: Key member of the team advising a leading Nigerian commercial bank on a US$38 million facility to an indigenous E&P company for drilling and development of oil wells and associated infrastructure.
- US$100m FPSO Investment (Okwok Field – OML 67): Key member of the team acting as Nigerian counsel to Petrogap Oil & Gas Limited in connection with a US$100 million investment pursuant to a Financial & Technical Services Agreement (FTSA) for conversion and deployment of an FPSO. Responsibilities included preparation and negotiation of Nigerian-law security documentation, review of English-law governed agreements and coordination of cross-border transaction documentation.
- EPC Advisory – 10MBOPD Processing Facility: Co-led advisory to Frontier Oil Limited on the EPC (FIDIC) contract for construction of a 10MBOPD crude oil processing facility, including regulatory compliance, environmental and permitting advisory, insurance structuring and risk mitigation strategies.
- Mixed-Use Real Estate Development (Ikoyi, Lagos): Co-led advisory on structuring and documentation for a 27-floor mixed-use development project, including land title structuring, transfer mechanisms, development agreements, joint venture arrangements and regulatory compliance.
